How iDjEV engages clients — plainly stated, without legal obscuration.
These terms govern all service engagements between iDjEV Web Solutions ("iDjEV", "we", "us") and clients ("you"). By signing a proposal or paying a deposit, you agree to these terms. We have written them plainly — if anything is unclear, ask us before work begins.
iDjEV delivers web development, web application development, digital training, and SaaS service provisioning. The exact scope of each engagement is defined in the signed proposal or project brief. Work outside the agreed scope is subject to a separate quotation and written approval.
We do not begin work on any project without a signed agreement and an initial deposit payment. Verbal commitments do not constitute an engagement.
iDjEV operates on a milestone-based payment model. Payment obligations for each milestone are defined in the project proposal. The standard structure is:

Accepted payment methods: Bank transfer (any Nigerian bank), POS. A signed receipt is issued for every payment. Prices are quoted and payable in Nigerian Naira (₦) unless otherwise agreed in writing.
Unpaid milestone payments may result in work being paused until payment is received. The final balance must be cleared before login credentials, source files, or ownership of any deliverable is transferred.
Each project includes a defined number of revision rounds, stated in the project proposal. A revision round means one consolidated set of feedback — not multiple separate rounds of individual changes. Feedback should be collected, organised, and submitted together.
Revisions include: changes to text content, colour adjustments, layout modifications, and corrections to agreed specifications. Revisions do not include changes to the fundamental scope, structure, or functionality of what was agreed — these constitute a change request and are quoted separately.
Revisions requested after the site has been launched and credentials handed over are considered post-launch support and are quoted separately, unless a maintenance agreement is in place.
You are responsible for:
Delays caused by late content submission or delayed feedback may extend the project timeline. iDjEV is not liable for timeline extensions caused by client-side delays.
Once all milestone payments have been received in full, full ownership of the completed website and all custom design work transfers to you. You own your website outright.
Until final payment is received, iDjEV retains all intellectual property rights over work produced. Credentials, source files, and completed deliverables are not released until the final balance is cleared.
Where third-party assets are used (stock images, fonts, plugins, or software licences), their licensing terms apply separately. iDjEV will identify any such assets and their terms during the project.
Unless explicitly agreed otherwise in writing, iDjEV retains the right to showcase completed work in our portfolio, case studies, and marketing materials. Client names may be used with permission. Sensitive or confidential project details are always handled discreetly.
Both parties agree to keep confidential any non-public business information shared during the engagement. iDjEV does not share your project details, pricing, or communications with third parties, except as required to deliver the agreed services (e.g., hosting providers, form processing services).
Where iDjEV builds systems that collect or process end-user data on your behalf, we advise on and implement appropriate security measures. You, as the data controller, are responsible for ensuring your use of those systems complies with Nigeria's Data Protection Regulation (NDPR) and any other applicable legislation. Post-launch support periods are defined in each project proposal (typically 30–60 days). During this period, iDjEV will address bugs, errors, or functionality issues arising from our work at no additional charge. Support does not include new features, design changes, or content updates, which are quoted separately.
After the support period ends, ongoing maintenance and updates are available under a separate maintenance agreement. Contact us to discuss options.
iDjEV's total liability in connection with any project or engagement shall not exceed the total amount paid by you for that specific project. iDjEV is not liable for indirect, consequential, or incidental losses, including loss of profit or business opportunity, arising from the use or inability to use a delivered product.
iDjEV is not liable for downtime, data loss, or security breaches caused by third-party hosting providers, domain registrars, or software platforms after the project has been handed over.
Either party may terminate an engagement with 7 days written notice. If you terminate, you are liable for payment of all work completed to the point of termination, calculated on a pro-rata basis against the agreed total. Payments already made are non-refundable unless iDjEV is in material breach of these terms.
If iDjEV terminates due to non-payment or material breach by the client, all work produced remains the property of iDjEV until outstanding amounts are settled.
These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved first through good-faith negotiation between the parties, and thereafter through appropriate legal channels in Nigeria.
iDjEV may update these terms from time to time. The version in effect at the time a project proposal is signed governs that engagement. Updated terms apply to new engagements from the date of publication.
